PRACTICE AREAS

Lynn Thompson has practiced extensively in construction law and litigation, government contracts and procurement (federal state, and local) law, grants law, commercial litigation and transactions, and business consulting for over 26 years.  Lynn is deeply skilled in these areas of practice—as counsel for plaintiffs and defendants—and has successfully represented prime contractors, subcontractors, private and public owners, and suppliers in scores of lawsuits, arbitrations, bid protests, requests for equitable adjustments, disputes and claims with federal agencies, appeals before the various Boards of Contract Appeals and Court of Federal Claims, performance and payment bond claims, mediations, and transactions.  Her decades of experience involving construction (both vertical and horizontal) include arbitration and litigation of a broad range of issues:  bid mistakes, defective plans and specifications, defective construction, insurance coverage and defense, delay and acceleration claims, scheduling, differing site conditions claims, inefficiency and productivity claims, changes, and  terminations for convenience and default,  among others.  Her experience includes negotiating tender and takeover agreements where the contractor has defaulted on its performance obligations.  Lynn also represents clients in contract drafting and negotiation, formation of joint venture agreements, and preparation of teaming agreements.

Lynn’s government contracts practice includes representation of  large and small businesses that do business with federal or state governments. She has extensive experience in bid protests at the Government Accountability Office, the various Boards of Contract Appeals, the Court of Federal Claims and representing clients in size and other "status" protests before the U.S. Small Business Administration, Office of Hearings and Appeals. She represents contractors and owners in disputes, requests for equitable adjustment, claims and appeals, and other aspects of contract administration.  Her experience as an attorney-advisor with the United States Department of Commerce in Washington, D.C. provides a unique perspective for representing clients in the private sector.

Lynn also focuses on special small business programs, including the HUBZone Program, 8(a) Program, Women-Owned Small Business Program, All-Small Mentor-Protégé Program, and the Veteran-Owned and Service-Disabled Veteran Owned Small Business Concern programs. She regularly consults with large and small businesses that desire to participate in these programs as well as procurements subject to the Randolph-Sheppard Act and assists with business planning, certification, joint venture and teaming agreements, contract drafting, compliance, and protests. Lynn has a national base of clients, from all over the Southeast, West Coast, Hawaii, Kentucky, South Carolina, Texas and states in between.

Lynn also represents clients in corporate and business matters, including transactions (asset purchases and sales, mergers and acquisitions, formation of corporate entities), business litigation, project-related transactions, and contract drafting/negotiation.      

As associate counsel for the Mississippi Association of General Contractors, Lynn assisted with development of Mississippi's Construction Lien Law that became effective in 2014.
